The answer: The Role and duties of the Managing director differ from a role about duties of the Chairman of board. However in many cases the Chairman carries out functions which are usually carried out by Operating real estate. In most cases in the work the Managing director contacts to the Chairman of Board.

Powers:
1. The general management. The managing director is responsible for management on places and property operation: cleanliness in buildings, the effective program of preventive maintenance of a building, etc.
2. The control over personnel work: work distribution, an explanation to the hired personnel of its duties and requirements to work, the regular control over workmanship of work.
3. Municipal services check: weekly checks of a condition of a building and territory, informing of Board on all cases of delay of works and the revealed defects, check of engineering parts of a building and a condition of the general property.
4. Work with contractors and suppliers: is responsible for granting of services by suppliers and contractors, buys necessary materials and spare parts for the equipment on operation and the maintenance of buildings.
5. Communication with tenants: informs tenants on an event in CSPA, supervises receipt of inquiries, offers and complaints.
6. Business management and business correspondence: prepares and hands over the full report, various forms of the account, carries out the control over log-books of works under the building maintenance, provides observance of the established schedule of carrying out of preventive maintenance, prepares and checks the sheet of working hours of hired workers for wages payment, organises management personnel work, prepares the monthly report for Board about the work which should include, but not be limited to following rules:
• the Finance
• Administrative work
• Contracts
• the building Maintenance
• Shots
• Legal issues
• Services to individual owners: performance of demands

What functions of general meeting

The answer: The supreme body of co-operative society of proprietors of premises (apartments) is general meeting of members of co-operative society. Members of co-operative society have the right to participate in meeting through authorised representatives.

The exclusive competence of general meeting of members of co-operative society concern:

1) an establishment of necessity of modification of the state certificate about object registration кондоминиума, and also in the charter, change and acceptance of other rules and positions;
2) election of the chairman of board of co-operative society, trustees and a revision committee, the decision on payment of compensations by it;
3) the statement of the annual report of co-operative society;
4) the statement of the annual budget and the annual estimate of incomes and expenses;
5) formation reserve and other special funds of co-operative society;
6) the decision of a question on the conclusion co-operative society of the contract with service of rendering housing-operational and utilities;
7) attraction under the contract operating an apartment house from outside, including the legal body;
8) delivery of the consent to reception of the credit for the sum exceeding twenty five percent of an account part of the estimate for given year;
9) the termination of co-operative society of proprietors of premises.

General meeting of members of co-operative society can accept any other questions of activity of co-operative society of proprietors of premises (apartments) to the consideration.

2. General meetings of members of co-operative society are spent not less often than an once in a year. The extraordinary meeting is convoked under the decision of board either on request of a revision committee, or on request of not less than twenty percent of members of co-operative society.

3. Members of co-operative society should be notified on forthcoming general meeting not less than for ten days.

4. General meeting of members of co-operative society is competent in the presence of not less than fifty percent of members of co-operative society or their authorised representatives. In the absence of such quorum there come the consequences provided by point 5 of article 43 of the present Law.

5. On request of not less than twenty percent of members of co-operative society present on general meeting (their authorised representatives) decision-making is spent by ballot.

6. General meeting of members of co-operative society is conducted by the chairman of board of co-operative society, and at its absence - one of trustees.
